Access, consultation and use of the pages of this website (hereinafter referred to as the "Site"), owned by QSRP Services AG, with registered office in QSRP Services SA, Alpenstrasse 15, 6300 Zoug, Suisse, Tax Code and VAT No. CHE 162 125 585 (hereinafter "QSRP"), are subject to the User’s acknowledgement, understanding and full acceptance of these Terms of Use.

QSRP reserves the right to amend these Terms of Use at any time, in whole or in part, to reflect, for example, changes to legal applicable framework. In case of amendment of Terms of Use, QSRP will adequately inform Users through the Site.

1. INTELLECTUAL PROPERTY RIGHTS OF CONTENTS

The contents of the Site- including, without limitations, data, information, images, graphics, drawings, photographs, trademarks and domain names (hereinafter, the "Contents")- are protected by copyright and all other Intellectual property rights of QSRP, of its licensor or of any third parties engaged by QSRP.

No license or right to use the Site Content is granted to the User; therefore, the User is not authorized to modify, publish, transmit, share, transfer to use, reproduce, rework, distribute, perform, give access to or commercially exploit in any way the Content on the Site.

QSRP may change the Contents at any time at its sole discretion and without any prior notice.

QSRP disclaims any and all liability for errors, inaccuracies, deficiencies and omissions found in the Content posted, regardless of their origin and cause.

2. USE OF THE SITE

The User acknowledges that the Site is exclusively for personal and noncommercial use.

Therefore, the User undertakes not to:

The User will indemnify and hold QSRP harmless from any claim - including costs and attorneys’ fees- or demand made by any third party due to or arising out of:

(c) any violation of applicable laws or regulations.

4. LINKS TO THIRD-PARTY EXTERNAL WEBSITES

The Site may contain links to other external websites, unrelated with this Site. This does not imply any kind of approval or endorsement by QSRP in relation to the legitimacy, completeness and correctness of the information contained in such websites.

When the User reaches third party’s websites, he/ she should carefully read the applicable third party’s terms and conditions and privacy policies, since these Terms of Use and the Privacy Policy refer exclusively to the Site.

QSRP is in no way responsible for the contents of any other website through which the User has reached the Website by means of hyperlinks and/or the contents of the websites accessible through the Site through hyperlinks, nor for any loss or damage suffered by the User for any reason whatsoever as a result of the User's access to websites to which the Site is in any way linked.

5. RESERVED AREAS AND ACCOUNT

In order to access the reserved areas of the Site- i.e. the “Investor Relations Area”- the User should create a personal account through the ad hoc registration page, providing the personal data indicated in the Privacy Policy. With this regard, please note that the creation of the account is not automatic; all account creation requests will be examined and validated by QSRP discretionally; therefore, the User’s request may be refused by QSRP. Alternatively to the registration process described above, the User can be invited to create his/her account directly by QSRP, who will send the User an an e-mail containing a link to a page allowing the User to create his/her password. Concerning the account created by the User/by QSRP as described herein, it should be noted that the User remains fully and individually responsible for the proper custody of the aforementioned credentials.

The User acknowledges that the access to the Investor Relations Area of the Site implies access to confidential information of QSRP. Therefore, the User:

  1. must keep such information strictly confidential.
  2. cannot disclose any related information to third party, unless required by Applicable Laws.
  3. shall not use the Information for any purpose other than in accordance with the purpose agreed with QSRP.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall QSRP be liable to you or any third party for any direct, indirect, consequential, incidental or punitive damages arising from or relating to any breach of these Terms of Use by the User or caused by malicious code or any other harmful material that may infect User’s computer equipment, computer programs, data or other proprietary material due to User’s use of the Site or User’s downloading of any content on it, or on any website or page linked to it.

Please note that some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; therefore, the above limitation will apply only if permitted by the applicable law.
